  4. Ueberroth's deal stalls, leaving Eastern in limbo

  7.     The deal collapsed as if it had been hit by wind shear. Just
  8. five days after announcing his $464 million takeover of
  9. strikebound and bankrupt Eastern Air Lines, former Baseball
  10. Commissioner Peter Ueberroth abruptly delivered a very
  11. different message last week. Said he: "Our agreement with Texas
  12. Air is terminated, it's finished, it's over."

  14.     When is a deal not a deal? Buyout agreements are getting
  15. trickier because they now bristle with escape hatches. Last
  16. month Donald Trump balked on his $365 million pact to buy
  17. Eastern's shuttle when the airline sought bankruptcy
  18. protections. Brandishing a clause that allowed him to dicker on
  19. the price if shuttle business fell off before his deal closed,
  20. Trump pressured Eastern into including four more airliners for
  21. the same price. The concession was worth up to $26 million.

  23.     In Ueberroth's deal, his special conditions were met when
  24. the airline's pilots, machinists and flight attendants agreed to
  25. take $1.1 billion in wage and benefits cuts, spread over five
  26. years, in exchange for a 30% ownership stake in the new
  27. company. But the unions had a condition too. They demanded that
  28. Texas Air chief Frank Lorenzo step aside immediately so that a
  29. court-appointed trustee could supervise the reorganization
  30. process. Frank Carlucci, the former Secretary of Defense, had
  31. flown to New York City expecting to be appointed to the post.

  33.     When the deal unraveled, lawyers for Eastern's creditors
  34. blamed Lorenzo and the unions for fumbling the question of
  35. who's in charge. But union lawyers said creditors had blocked
  36. the deal because they felt it did not spell out how Eastern
  37. would repay its debts.

  39.     This week the federal bankruptcy court will decide what to
  40. do next. Texas Air wants to shrink Eastern to compact size,
  41. linking about 60 cities with 130 jetliners, down from the 110
  42. cities served by 250 planes before the strike began. Another
  43. option, an auction to sell off Eastern in pieces to the highest
  44. bidders, could draw such expansion-minded airlines as TWA,
  45. American and Delta. Adding to the suspense, sources close to
  46. Ueberroth say his game may still go into extra innings.
